Pixlore Terms of Service

Effective Date: September 25, 2025

1. Acceptance of Terms & Eligibility

By installing, accessing, or using Pixlore (the "Service"), you agree to these Terms of Service (the "Terms") and our Privacy Policy and Refund Policy (collectively, the "Agreement"). If you are entering into the Agreement on behalf of an entity, you represent and warrant that you have authority to bind that entity. You must be at least 13 years old (or the age of digital consent in your jurisdiction) to use the Service.

2. Changes to the Service or Terms

We may modify the Service or these Terms at any time. Material changes will be notified via email, in-app notice, or plugin banner before they take effect. Your continued use after changes take effect constitutes acceptance. If you do not agree, you must stop using the Service and, if applicable, cancel your subscription before the next billing cycle.

3. Service Description

Pixlore (NewPort LLC) is a Figma plugin and related web services that enable you to: (a) convert webpages into editable Figma design files; (b) import interaction events and descriptions; and (c) modify Figma files via AI assisted natural language instructions. We may add, change, or remove features at our discretion, including experimental or beta features.

4. Accounts & Registration

You may need a Figma account to use certain features. You must provide accurate registration information, keep your credentials confidential, and are responsible for all activity on your account. Notify us immediately of suspected unauthorized use. We may require verification or multi factor authentication.

5. Subscriptions, Trials, Fees & Taxes

  1. Plans & Trials- Some features require a paid subscription or credits. Free trials or promotional credits may be offered and are subject to change or termination.
  2. Billing & Auto Renewal- Fees are disclosed at purchase and processed by third party providers (ex- Stripe). Subscriptions auto renew unless canceled prior to renewal.
  3. Price Changes- We may change pricing on a go forward basis with advance notice for your then current term, changes take effect upon renewal.
  4. Taxes- Fees are exclusive of taxes, duties, and similar charges, which you are responsible for where applicable.
  5. Refunds- Except where required by law or expressly stated in our Refund Policy, fees are non-refundable. See our Refund Policy for exceptions and processes.

6. Acceptable Use & Prohibited Conduct

You agree not to, and not to permit others to:

  1. Violate any law, regulation, third-party right (including IP, privacy, or publicity), or Figma's or Stripe's terms.
  2. Upload, transmit, or generate unlawful, harmful, defamatory, obscene, or infringing content.
  3. Reverse-engineer, decompile, disassemble, or otherwise attempt to derive source code or non-public APIs, except as permitted by law.
  4. Bypass or interfere with security, access controls, rate limits, subscription restrictions, or usage caps.
  5. Use the Service to build, train, or improve competing models or services, or for benchmarking in a misleading manner.
  6. Introduce malware, engage in scraping not permitted by us or applicable law, or overload and or abuse network resources.

We may monitor for compliance and may suspend or terminate accounts for violations.

7. Your Content, Licenses

  1. Ownership- You retain ownership of inputs (ex- webpages, text, images, prompts, interaction events) and outputs (ex- Figma files and generated modifications) you create through the Service.
  2. License to Pixlore (NewPort LLC)- You grant us a worldwide, non-exclusive, royalty free license to host, process, transmit, display, and create derivative works from your content solely to operate, maintain, improve, secure, and provide the Service (including debugging, quality, analytics, and abuse detection).
  3. Representations- You represent and warrant you have all rights necessary to submit your content and that your content and use of the Service will not violate law or third party rights.

8. Feedback

If you submit ideas, suggestions, or feedback, you grant us a perpetual, irrevocable, worldwide, royalty free license to use, copy, modify, and commercialize the feedback without restriction or attribution.

9. AI & Generated Content- No Professional Advice

Pixlore's AI features may produce inaccurate, incomplete, or unexpected outputs. You are solely responsible for reviewing and validating outputs before relying on them. Outputs may be influenced by your content, prompts, or third party systems and do not constitute professional advice. We make no warranties regarding accuracy, completeness, or fitness for a particular purpose.

10. Third-Party Services (Figma, Stripe)

The Service may depend on or interoperate with third party platforms (ex- Figma, Stripe, analytics, hosting). Your use of such third party services is subject to their terms and privacy policies. We are not responsible for third party services, outages, or changes that affect the Service. We may replace or remove integrations at any time.

11. Privacy, Data Processing

Our handling of personal data is described in the Privacy Policy. By using the Service, you consent to our processing in accordance with that policy, including transfers to the United States and other jurisdictions subject to appropriate safeguards. We implement reasonable security measures, but no system is perfectly secure; you are responsible for maintaining the security of your credentials and environments.

12. Intellectual Property, Reservation of Rights

The Service, software, documentation, interfaces, and all related intellectual property are owned by Pixlore (Newport LLC) or its licensors and are protected by IP laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service during your subscription term in accordance with these terms. All rights not expressly granted are reserved.

13. Open-Source Components

The Service may include or link to open source software. Such components are licensed under their respective licenses. To the extent of any conflict, the open source license governs your use of that component.

14. Beta/Experimental Features

We may offer beta, or experimental features ("Beta"). Beta is provided AS IS, may be discontinued at any time, and may be subject to additional terms. Beta may be less reliable and is excluded from any service commitments.

15. Availability, Support, Modifications

We do not guarantee uninterrupted or error free operation. From time to time we may perform maintenance or modify the Service. Unless otherwise agreed in a separate writing, support is provided on a commercially reasonable basis and may be updated or discontinued.

16. Suspension & Termination

We may suspend or terminate your access immediately for violations of these Terms, legal risk, non-payment, suspected fraud, or security issues. You may cancel at any time via account settings or by contacting support; cancellation takes effect at the end of the current billing cycle. Termination or expiration does not relieve you of accrued payment obligations.

17. Effect of Termination, Data Export

Upon termination or expiration, your right to access the Service ceases. We may retain and or delete data in accordance with our Privacy Policy and applicable law. Where feasible, we will provide a reasonable opportunity to export your content before permanent deletion.

18. Indemnification

You will indemnify, defend, and hold harmless Newport LLC, an Illinois limited liability company, its affiliates, and their officers, directors, employees, and agents from and against any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) Your Content; (b) your use of the Service in violation of law or these Terms; or (c) alleged infringement or misappropriation by Your Content.

19. Disclaimers

The Service, beta features, and all outputs are provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade. We do not warrant that the Service will be uninterrupted, error free, or secure, or that outputs will be accurate or reliable.

20. Limitation of Liability

To the maximum extent permitted by law: (a) neither Pixlore, Newport LLC, nor its affiliates will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, data, or business interruption; and (b) Pixlore's total liability for all claims arising out of or related to the Service or these Terms will not exceed the amounts paid by you to Pixlore for the Service in the 1 month preceding the event giving rise to liability. Some jurisdictions do not allow limitations on implied warranties or exclusion of certain damages; these limitations apply to the maximum extent permitted.

21. DMCA/Copyright Policy

We respect intellectual property. If you believe content accessible through the Service infringes your copyright, please send a notice containing: (i) identification of the copyrighted work; (ii) identification of the infringing material; (iii) your contact information; (iv) a good faith belief statement; (v) a statement under penalty of perjury regarding accuracy and authority; and (vi) your signature. Send to pixloreservice@gmail.com with subject "DMCA Notice". We may remove content and/or terminate repeat infringers at our discretion.

22. Export Controls & Sanctions

You represent that you are not located in or a resident of any jurisdiction subject to comprehensive U.S. sanctions and are not a prohibited party under applicable export or sanctions laws. You will not use or export the Service in violation of U.S. or other applicable export control and sanctions laws.

23. Force Majeure

We are not liable for delays or failures caused by events beyond our reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, cyber events, utility failures, or government actions.

24. Dispute Resolution, Arbitration, Governing Law

  1. Governing Law & Jurisdiction. These Terms are governed by Delaware law without regard to its conflict of laws rules. Subject to the arbitration agreement below, exclusive jurisdiction and venue lie in state or federal courts in San Francisco, California.
  2. Binding Arbitration & Class Action Waiver (U.S.). Any dispute arising out of or relating to the Agreement or Service shall be resolved through binding arbitration administered by the American Arbitration Association under its Consumer or Commercial Rules (as applicable). You and NEWPORT LLC agree to arbitrate only on an individual basis; class, collective, or representative actions are not permitted. Either party may seek injunctive relief in court for intellectual property or unauthorized use.
  3. Opt-Out. You may opt out of arbitration by emailing pixloreservice@gmail.com with subject "Arbitration Opt-Out" and your account details within 30 days of first accepting these Terms.

25. Notices, Electronic Communications

We may provide notices via email associated with your account or through in-Service notices. You consent to electronic communications and agree they satisfy legal written notice requirements.

26. Assignment

You may not assign or transfer the Agreement without our prior written consent. We may assign the Agreement in connection with a merger, acquisition, corporate reorganization, or sale of assets.

27. Miscellaneous

If any provision is deemed unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in effect. No waiver is effective unless in writing. The Agreement is the complete agreement between you and Pixlore (NewPort LLC) regarding the Service and supersedes prior or contemporaneous agreements on the same subject. Provisions that by their nature should survive (e.g., fees, IP, disclaimers, limitation of liability, indemnification, dispute resolution) will survive termination.
